This is the agreement that covers your use of VertexBooth. The same text ships with the software as EULA.txt and is shown in the installer. If you are evaluating VertexBooth in trial mode, sections 2.4, 13 and 14 are the ones to read first.

IMPORTANT – READ CAREFULLY. This End User License Agreement (the "Agreement") is a legal contract between you (an individual or a single legal entity, "you" or the "Operator") and Vertex Vending Group of Davie, Florida, United States ("Vertex", "we", "us"). It governs your use of the VertexBooth photo booth software, including its kiosk, its Studio design and settings tools, its installer, any license keys, and any updates, documentation and sample content that Vertex provides with it (together, the "Software").

BY CLICKING "I ACCEPT" IN THE INSTALLER, BY INSTALLING, COPYING OR USING THE SOFTWARE, OR BY ACTIVATING A LICENSE KEY, YOU AGREE TO BE BOUND BY THIS AGREEMENT. IF YOU DO NOT AGREE, DO NOT INSTALL OR USE THE SOFTWARE. IF YOU ARE ACCEPTING ON BEHALF OF A COMPANY OR OTHER ENTITY, YOU REPRESENT THAT YOU HAVE AUTHORITY TO BIND IT.

This Agreement contains a disclaimer of warranties (Section 13), a limitation of liability (Section 14), an indemnity you give to Vertex (Section 15), and a governing-law and venue clause (Section 17). It also sets out obligations you owe to the guests who use your booth (Section 8). Please read those sections in particular.

1. Definitions

"Booth" means a single physical photo booth or kiosk computer on which the Software runs.

"Guest" means any person who interacts with a Booth: poses for a photo, pays, types a phone number or email address, scans a code, or otherwise uses the Software through a Booth.

"License Key" or "License File" means the signed file Vertex issues to activate the Software on a specific Booth, together with the term, seat count, edition and other conditions it encodes.

"Trial Mode" means the Software running without a valid License Key. In Trial Mode every photo, live view, preview and print carries a visible VertexBooth watermark. Nothing else is limited.

"Third-Party Services" means any service, network or software that is not made by Vertex and that the Software can be configured to send data to or receive data from. Examples as of this version include: text-message services (Twilio, Textbelt, ClickSend), email services (Brevo, SendGrid, any SMTP mailbox), photo hosting and cloud storage (Cloudinary, Cloudflare R2), push-notification services (ntfy), artificial-intelligence image services (Google Gemini, OpenAI, fal.ai, Replicate, Black Forest Labs), card-payment readers and bridges (Qibixx, Nayax and other MDB devices), camera manufacturers' software (Canon EOS Digital SDK), printers and printer drivers, and the Windows operating system.

"Your Content" means everything you put into the Software or produce with it: screen designs, strip layouts, logos, overlays, prompts, profiles, settings, event names, and every photo, video, GIF and print the Software captures or creates for you or your Guests.

2. License grant

2.1 License. Subject to this Agreement, Vertex grants you a limited, non-exclusive, non-transferable, non-sublicensable license to install and use the Software on the number of Booths permitted by your License Key (or, in Trial Mode, on any number of Booths) for the purpose of operating photo booths in your own business.

2.2 License Keys. A License Key is bound to the Booth on which it is activated. It may be deactivated from that Booth using the Software's own Deactivate function and then activated on another Booth, one Booth per seat at a time. You must not share, sell, lend or publish a License Key, and you must not attempt to use a License Key on more Booths than it permits.

2.3 Term of the License. A License Key states whether it is perpetual, a subscription, or a trial, and when it expires. When a subscription expires, the Software continues to work without watermarks for the grace period the License Key encodes, and then returns to Trial Mode. A trial License Key has no grace period. A perpetual License Key never returns to Trial Mode, but its right to updates ends on the maintenance date it encodes.

2.4 Trial Mode. You may use the Software in Trial Mode for as long as you like, for evaluation and for real events, on the condition that you do not remove, obscure, crop or otherwise defeat the watermark. The watermark is the entire price of Trial Mode.

2.5 Reservation of rights. The Software is licensed, not sold. Vertex and its licensors keep all rights not expressly granted here.

3. Pre-release and test builds

3.1 If Vertex has told you that the build you are using is a test, beta, preview or pre-release build (a "Test Build"), the following also apply.

3.2 A Test Build may contain defects, may be incomplete, may change without notice, and may stop working on a date Vertex chooses. Do not rely on a Test Build for an event you cannot afford to have go wrong. Keep a backup plan.

3.3 Vertex may collect your feedback, bug reports, screenshots and log files that you choose to send. By sending them you grant Vertex a perpetual, irrevocable, royalty-free license to use them to improve the Software, with no obligation to you. Do not send Vertex photos of Guests unless you have their permission to do so.

3.4 Test Builds are provided under the same disclaimers and limitations as the rest of this Agreement.

4. Restrictions

You must not, and must not permit anyone else to:

(a) copy the Software except for one backup copy and the installation copies this Agreement permits; (b) sell, rent, lease, lend, sublicense, distribute, host or otherwise make the Software available to any third party, or use it to operate booths for other operators as a service, except as a separately written agreement with Vertex allows; (c) reverse engineer, decompile, disassemble or otherwise attempt to derive the source code of the Software, except to the limited extent applicable law expressly permits despite this restriction; (d) circumvent, disable, tamper with or defeat any licensing, activation, watermarking, machine fingerprinting or usage-limit mechanism of the Software, including by altering the Booth's clock, editing license or clock files, or patching the Software; (e) remove, alter or hide any copyright, trademark, watermark or other proprietary notice in the Software or its output while in Trial Mode; (f) extract, redistribute or use separately from the Software any Third-Party Service software that ships inside it, including the Canon EOS Digital SDK libraries (see Section 7.3); (g) use the Software to break any law, to harm, harass or deceive any person, to generate unlawful, obscene, defamatory or infringing content, or in violation of the terms of any Third-Party Service you connect it to; (h) use the Software to collect biometric identifiers, or to identify, track or profile individual Guests, beyond what a Guest has knowingly asked the Booth to do with their own photo in that session; (i) use the Software in any situation where its failure could lead to death, personal injury or severe physical or environmental damage. It is photo booth software.

5. Ownership

5.1 The Software, its design, its code, its documentation, the VertexBooth name and logo, and all copies, are owned by Vertex or its licensors and are protected by copyright, trademark and other laws.

5.2 Your Content is yours. Vertex claims no ownership of your designs, your profiles, or the photos your Booths take. The Software does not send Your Content to Vertex. Where you connect a Third-Party Service, Your Content goes to that service under its terms, not Vertex's.

5.3 Sample profiles, screen designs, fonts and artwork that ship with the Software are licensed to you for use with the Software only, unless a notice beside them says otherwise.

6. Updates and support

6.1 Vertex may release updates, fixes and new versions from time to time. Some may be free, some may be part of a maintenance period stated in your License Key, and some may require a new license. Vertex has no obligation to provide any update, feature or support unless a written agreement says so.

6.2 An update may change or remove features, may change file formats, and may require you to re-save profiles. Vertex will try to keep your existing profiles working but does not promise it.

6.3 Support, where offered, is provided by email on a reasonable-efforts basis during Vertex's normal business hours. Vertex does not provide on-site support, event-night support, or support for Third-Party Services or hardware.

7. Third-party services, software and hardware

7.1 Your accounts, your bill. Every Third-Party Service the Software can connect to requires an account that you open, in your own name, with that provider. You choose whether to enable it, you enter your own credentials, and you pay that provider directly. Vertex is not a party to your relationship with any Third-Party Service, does not resell them, does not see your credentials or your traffic, and is not responsible for their availability, their pricing, their content policies, their data handling, or anything they do with Your Content.

7.2 Their terms apply. When you connect a Third-Party Service you agree to that provider's terms of service, acceptable-use policy and privacy policy, and you are solely responsible for complying with them. In particular:

(a) Text messaging. Sending texts to Guests from your own number requires that you register that number and your use case with the carrier program your provider requires (in the United States, A2P 10DLC or toll-free verification) and that you honour opt-outs. Vertex does not do this for you. (b) AI image services. Photos of your Guests are transmitted to the AI provider you choose, processed on that provider's systems, and may be retained or used by that provider according to its own policy. Some providers train on data sent through free tiers. Some providers refuse or restrict realistic images of children. You are responsible for choosing a provider whose policies suit your events and for telling Guests that their photo will be sent to that provider (see Section 8). (c) Cloud storage and hosting. Photos and any Guest contact details you enable are stored in your own bucket or account. You control who can reach it, how long it keeps things, and whether it is public. Vertex has no access to it. (d) Payment readers. The Software talks to card readers through a Qibixx MDB bridge. Vertex does not process, hold or transmit card data or funds. Your merchant relationship, settlement, refunds, chargebacks, receipts and tax are entirely between you, your reader vendor and your payment processor.

7.3 Canon EOS Digital SDK. The Software includes camera-control libraries that are the property of Canon Inc. and are used under Canon's license. They are provided solely for use as part of the Software with Canon cameras. You must not extract them, use them with any other software, copy them separately, or reverse engineer them. Canon is not a party to this Agreement and provides no warranty or support to you.

7.4 Open-source software. The Software includes open-source components, listed with their license texts in the file THIRD-PARTY-NOTICES.txt installed beside the Software and viewable from Studio's License page. Those components are licensed to you under their own terms, which for those components take precedence over this Agreement. Nothing in this Agreement limits any right you have under those licenses.

7.5 Hardware. Vertex does not manufacture, sell or warrant cameras, printers, card readers, touch screens, computers or any other hardware. The Software is tested with a limited set of devices. A device that is not on that list may not work, and a device that is on it may still behave differently in your Booth. Test your full setup before any paid event.

8. Your obligations to guests – privacy, consent and the law

You, not Vertex, operate the Booth, decide what it does, and deal with Guests. The Software gives you tools; using them lawfully is your responsibility. Without limiting that:

8.1 Privacy law. You are the controller, owner or custodian (whichever term your law uses) of every photo and every contact detail the Booth collects. You must comply with all privacy, data-protection, consumer-protection and marketing laws that apply to you and to the places where your Booths are used, and you must have a lawful basis for everything you do with Guest data.

8.2 Tell Guests what happens. The Software shows a short guest notice on every screen that asks for a phone number or email or shows a code to scan. You may reword it, and you must keep it accurate. If you send photos to an AI service, to cloud storage, or to anyone other than the Guest, you must make sure Guests are told before they proceed – through that notice, through signage at the Booth, through your event client, or all three. You may switch the notice off only if you provide the same information in another way that a Guest sees before using the Booth.

8.3 Text messages and email. You must not send any text or email to a Guest other than the one-time delivery of their own photos unless you have obtained that Guest's separate, informed consent to marketing. You must honour every opt-out. Vertex is not responsible for any claim under the Telephone Consumer Protection Act, CAN-SPAM, state telemarketing laws, or their equivalents elsewhere, arising from your use of the Software.

8.4 Biometric and facial-recognition laws. Some jurisdictions (including Illinois, Texas and Washington in the United States) regulate the collection of facial geometry and other biometric identifiers and require specific, informed, written consent, a published retention policy, and more. An AI service that edits a photo of a face may or may not create a biometric identifier under those laws depending on what it does with the image. If you operate in such a jurisdiction and enable any face-related feature, you are responsible for determining what those laws require of you and for meeting it. Vertex makes no representation that the Software's default settings satisfy any biometric-privacy law.

8.5 Children. If your Booth may be used by children, you are responsible for complying with laws that protect them, including the Children's Online Privacy Protection Act in the United States, and for choosing AI and hosting services whose policies permit images of minors. Do not enable contact-collection features for events where Guests are likely to be under the age at which your law requires parental consent.

8.6 Venue and event permissions. You are responsible for obtaining any permission needed from the venue, the event host and the Guests to photograph people and to display, print, send or store those photographs.

8.7 Retention and security. You decide how long photos and contact details are kept – in the Booth's own storage, in your cloud bucket, and with any Third-Party Service. You are responsible for setting sensible retention, for securing the Booth computer (including its Windows account and physical access), for protecting the credentials you enter into the Software, and for responding to any loss or breach of Guest data as your law requires. Exported profiles omit service credentials by design; the profiles on a Booth's disk do not, so protect the Booth.

8.8 Content. You are responsible for all screen designs, overlays, prompts, text and artwork you load into the Software, including having the right to use any logo, font, image or brand in them.

9. How the software itself handles data

9.1 The Software does not send telemetry, usage statistics, photos, contact details, settings or crash reports to Vertex. It has no account system and no Vertex server behind it.

9.2 The Software stores data locally on the Booth, in the Windows user's local application data folder and in the Windows shared application data folder: profiles, captured photos and strips, an event log, a crash log, a license file, and a clock record used by licensing. You can delete these; deleting the license file deactivates the Booth.

9.3 License activation is offline. To issue a License Key, Vertex records the name and email address you give with your order, the machine code the Software shows you (a fingerprint derived from the Booth's hardware, not a serial number in the clear), and the license terms. Vertex keeps these records to administer licenses and support, and does not sell them.

9.4 Data leaves the Booth only through the Third-Party Services you enable, the delivery channels you configure, the printers you attach, and any export you perform.

10. Fees and refunds

10.1 License fees, if any, are stated at the time of purchase. All fees are non-refundable unless Vertex says otherwise in writing or the law where you live requires a refund.

10.2 Trial Mode is free. Third-Party Services and hardware are not; those costs are yours.

10.3 Taxes are your responsibility unless Vertex's invoice states otherwise.

11. Term and termination

11.1 This Agreement lasts until terminated. It terminates automatically if you breach it. Vertex may also terminate it, or suspend a License Key, if Vertex reasonably believes a License Key has been obtained, shared or used in breach of this Agreement.

11.2 On termination you must stop using the Software and destroy all copies. Sections 4, 5, 7, 8, 9, 11.2, 13, 14, 15, 17 and 18 survive termination.

11.3 Vertex will not remotely disable, brick, or interrupt a running Booth for a licensing reason. The Software's only response to an expired or invalid License Key is to return to Trial Mode.

12. Vertex's own commitments

12.1 Vertex will not put code in the Software that collects your data without saying so in this Agreement or in a notice presented before that data is collected.

12.2 Vertex will keep THIRD-PARTY-NOTICES.txt current for every release.

13. Disclaimer of warranties

13.1 THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITH ALL FAULTS AND WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY LAW, VERTEX AND ITS LICENSORS DISCLAIM ALL WARRANTIES, EXPRESS, IMPLIED OR STATUTORY, INCLUDING ANY WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, QUIET ENJOYMENT, AND ANY WARRANTY ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

13.2 WITHOUT LIMITING THE ABOVE, VERTEX DOES NOT WARRANT THAT THE SOFTWARE WILL BE ERROR-FREE OR UNINTERRUPTED; THAT IT WILL WORK WITH YOUR CAMERA, PRINTER, CARD READER, SCREEN OR COMPUTER; THAT ANY THIRD-PARTY SERVICE WILL BE AVAILABLE, ACCURATE OR AFFORDABLE; THAT ANY AI-GENERATED IMAGE WILL BE ACCURATE, APPROPRIATE, FLATTERING OR FREE OF ARTEFACTS; THAT PHOTOS, PRINTS, TEXTS OR EMAILS WILL BE DELIVERED; OR THAT ANY EVENT WILL GO AS PLANNED.

13.3 A PHOTO BOOTH AT AN EVENT HAS ONE CHANCE. VERTEX CANNOT GIVE AN EVENT BACK. YOU ARE RESPONSIBLE FOR TESTING YOUR COMPLETE SETUP BEFORE EVERY PAID EVENT, FOR ATTENDING OR MONITORING THE BOOTH AS THE EVENT REQUIRES, AND FOR HAVING A BACKUP PLAN.

13.4 Some jurisdictions do not allow the exclusion of implied warranties, so some of the above may not apply to you. In that case any implied warranty is limited to thirty (30) days from first installation.

14. Limitation of liability

14.1 TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL VERTEX, ITS OWNERS, EMPLOYEES, CONTRACTORS OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, BUSINESS, GOODWILL, DATA OR PHOTOS, OR FOR THE COST OF SUBSTITUTE SOFTWARE OR SERVICES, OR FOR ANY REFUND, CREDIT OR COMPENSATION YOU OWE TO AN EVENT CLIENT, VENUE OR GUEST, ARISING OUT OF OR RELATED TO THE SOFTWARE OR THIS AGREEMENT, HOWEVER CAUSED AND UNDER ANY THEORY OF LIABILITY, EVEN IF VERTEX WAS ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

14.2 TO THE MAXIMUM EXTENT PERMITTED BY LAW, VERTEX'S TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATED TO THE SOFTWARE OR THIS AGREEMENT WILL NOT EXCEED THE GREATER OF (A) THE LICENSE FEES YOU PAID TO VERTEX FOR THE SOFTWARE IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, AND (B) ONE HUNDRED US DOLLARS (US$100).

14.3 VERTEX HAS NO LIABILITY OF ANY KIND FOR ANY THIRD-PARTY SERVICE, ANY HARDWARE, ANY CONTENT YOU OR A GUEST SUPPLY, ANY AI-GENERATED OUTPUT, OR ANY ACT OR OMISSION OF A GUEST, VENUE OR EVENT CLIENT.

14.4 These limits apply together and are a fundamental part of the bargain; the fees for the Software would be higher without them. Some jurisdictions do not allow some of these limits, in which case they apply to the greatest extent permitted.

15. Indemnity

You will defend, indemnify and hold harmless Vertex and its owners, employees, contractors and licensors from and against any claim, demand, suit, proceeding, loss, liability, damage, fine, penalty, cost and expense (including reasonable legal fees) arising out of or related to: (a) your operation of any Booth; (b) any photo, contact detail or other data you collect, store, send or use; (c) any failure to obtain a consent, give a notice or honour an opt-out that the law requires; (d) any Third-Party Service you connect, including your breach of its terms; (e) Your Content; (f) any claim by a Guest, venue, event client or regulator; or (g) your breach of this Agreement. Vertex may participate in the defense with counsel of its choosing at its own expense, and you will not settle any claim that imposes an obligation on Vertex without Vertex's written consent.

16. Compliance and export

You will comply with all export-control and sanctions laws that apply to the Software. You represent that you are not located in, and are not a national of, a country subject to a comprehensive US embargo, and are not on any US government restricted-party list. The Software is "commercial computer software" and, if acquired by or for a US government agency, is provided with only the rights set out in this Agreement.

17. Governing law, venue and disputes

17.1 This Agreement is governed by the laws of the State of Florida, United States, without regard to its conflict-of-laws rules. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

17.2 Before starting any formal proceeding, you and Vertex will try in good faith to resolve the dispute by contacting each other in writing and discussing it for at least thirty (30) days.

17.3 Any dispute that is not resolved that way will be brought exclusively in the state or federal courts located in Broward County, Florida, and you and Vertex consent to their personal jurisdiction. Vertex may, however, seek an injunction in any court to protect its intellectual property or to stop a breach of Section 4.

17.4 TO THE EXTENT PERMITTED BY LAW, YOU AND VERTEX EACH WAIVE ANY RIGHT TO A JURY TRIAL AND AGREE THAT ANY DISPUTE WILL BE BROUGHT ONLY ON AN INDIVIDUAL BASIS AND NOT AS A CLASS, COLLECTIVE OR REPRESENTATIVE ACTION.

17.5 Any claim arising out of or related to this Agreement must be brought within one (1) year after it arose, or it is permanently barred, to the extent the law permits.

18. General

18.1 Entire agreement. This Agreement, together with the terms encoded in your License Key and THIRD-PARTY-NOTICES.txt, is the entire agreement between you and Vertex about the Software and replaces every earlier discussion, proposal and agreement. A separate written agreement signed by Vertex may add to or change it for a particular customer.

18.2 Changes. Vertex may publish a revised Agreement with a new version of the Software. The revised Agreement applies to that version and later ones from the moment you install them; the version you accepted continues to apply to the version you have.

18.3 Assignment. You may not assign or transfer this Agreement or any License Key without Vertex's written consent, except that you may transfer a perpetual License Key together with the Booth it is activated on, as part of the sale of that Booth, if the buyer accepts this Agreement. Vertex may assign this Agreement to a successor of its business.

18.4 Severability and waiver. If any part of this Agreement is held unenforceable, the rest remains in force and the unenforceable part is replaced by an enforceable one that comes closest to its intent. A failure to enforce is not a waiver.

18.5 No third-party beneficiaries, except that Vertex's licensors (including Canon Inc. and the authors of the open-source components) may enforce the provisions that protect them.

18.6 Language. This Agreement is written in English. "License" and "license" mean the same thing wherever either spelling appears.

18.7 Notices and contact. Notices to Vertex must be sent in writing to Vertex Vending Group, Davie, Florida, at the address or email published for that purpose at vertexvendinggroup.com. Vertex may notify you at the email address you supplied with your license order or through the Software.

19. Acknowledgement

You acknowledge that you have read this Agreement, understand it, and agree to be bound by it. You further acknowledge that this Agreement, and not any statement made by anyone, is the complete and exclusive statement of the agreement between you and Vertex.
